Contractor Participation Agreement

Washington Home Contractors is a contractor referral and project matching service. All construction services are provided by independent licensed contractors. Washington Home Contractors does not perform construction work.

This Contractor Participation Agreement ('Agreement') governs participation in the Washington Home Contractors referral network ('Network'). By accepting this Agreement, you ('Contractor') agree to the following terms.

1. Nature of the Relationship

Contractor acknowledges and agrees that: (a) Washington Home Contractors is a referral and lead generation service; (b) Contractor is an independent business and is not an employee, partner, agent, joint venturer, franchisee, or representative of Washington Home Contractors; (c) nothing in this Agreement creates an employment, agency, or partnership relationship; and (d) Contractor has sole and exclusive control over the means and methods of performing any construction services.

2. Contractor Responsibilities

Contractor is solely responsible for all licensing, bonding, insurance, tax, permit, code compliance, safety, employment, lien, warranty, and other legal and regulatory obligations associated with its business and any work it performs for homeowners introduced through the Network.

3. Required Credentials

Throughout Contractor's participation in the Network, Contractor shall maintain: (a) an active Washington State contractor registration in good standing; (b) an active surety bond in the amount required by Washington law; (c) active general liability insurance with minimum limits required by Washington law; and (d) any other licenses required for the trades it performs (e.g., electrical, plumbing). Contractor will promptly notify Washington Home Contractors of any lapse, expiration, suspension, revocation, or material change.

4. Professional Conduct

Contractor agrees to (a) respond to homeowner inquiries promptly, (b) provide professional, respectful customer service, (c) keep job sites clean and safe, (d) provide accurate and good-faith estimates, (e) honor agreed-upon schedules, and (f) comply with the Contractor Standards & Guidelines, as may be updated.

5. Lead Use

Leads provided through the Network may be used only to evaluate and pursue the specific project described. Contractor may not resell, transfer, or reuse lead information for unrelated marketing without homeowner consent.

6. Commission

Commission, referral fees, and lead fees are governed by the separate Contractor Commission Agreement.

7. Term & Termination

Either party may terminate participation at any time, with or without cause, on written notice. Washington Home Contractors may suspend or remove Contractor for violations of this Agreement, lapsed credentials, complaints from homeowners, or other conduct inconsistent with the Network's standards. Obligations relating to commissions on signed contracts survive termination.

8. Confidentiality & Non-Disparagement

Contractor will treat homeowner information as confidential and will not publicly disparage Washington Home Contractors or other Network contractors.

9. Indemnification

Contractor will defend, indemnify, and hold harmless Washington Home Contractors from any claim arising out of (a) Contractor's work, (b) Contractor's contract with a homeowner, (c) Contractor's employees or subcontractors, or (d) Contractor's breach of this Agreement.

10. Limitation of Liability

Washington Home Contractors' total liability to Contractor for any claim arising from this Agreement shall not exceed the total commissions paid by Contractor to Washington Home Contractors in the three (3) months preceding the claim.

11. Governing Law & Venue

This Agreement is governed by the laws of the State of Washington, without regard to its conflict of laws provisions. The exclusive venue for any dispute shall be the state or federal courts located in Snohomish County, Washington.

12. Entire Agreement

This Agreement, together with the Contractor Commission Agreement and Contractor Standards & Guidelines, constitutes the entire agreement between the parties and supersedes any prior understandings on this subject.
